Fiatbit Technologies d.o.o., a company established under the laws of Croatia with registration number 081526343 and business address at Preradoviceva ulica 40, 10000 Zagreb, Croatia, operates as a Virtual Assets Service Provider (VASP).

Fiatbit Technologies d.o.o. provides cryptocurrency services through its platform fiatbit.hr, allowing customers to buy, sell, and exchange virtual assets securely and in compliance with Croatian laws and regulations.

These Terms and Conditions govern the relationship between Fiatbit Technologies d.o.o. and its customers who access its services via fiatbit.hr.

1. Acceptance of Terms

These Terms and Conditions govern your use of the cryptocurrency services provided by Fiatbit Technologies d.o.o. for all customers. These Terms apply to any interaction with Fiatbit Technologies d.o.o.'s platform via fiatbit.hr.

These Terms apply exclusively to the cryptocurrency services directly provided by Fiatbit Technologies d.o.o. as a Virtual Assets Service Provider (VASP).

These Terms are published in English and are the official version. Translations, if provided, are for convenience only. In the event of discrepancies, the English version shall prevail.

Eligibility

The Services are not available to individuals who:

2. Services

Fiatbit Technologies d.o.o. provides cryptocurrency-related services through its platform fiatbit.hr. These services are available to all customers who are eligible under these Terms and Conditions.

Scope of Services

Buying and Selling Cryptocurrencies: Fiatbit Technologies d.o.o. facilitates the purchase and sale of supported cryptocurrencies (e.g., Bitcoin and other digital assets) in exchange for fiat currencies such as EUR, CHF, and other accepted currencies.

Transaction Execution: Transactions are executed only upon receipt of payment in fiat currency or cryptocurrency. Prices displayed at the time of the transaction are subject to fluctuation due to market volatility and are finalized only upon execution.

Non-Custodial Services: Fiatbit Technologies d.o.o. does not provide custodial wallet services. Users must provide their own cryptocurrency wallet addresses for receiving or sending digital assets. Fiatbit Technologies d.o.o. is not responsible for the security or functionality of third-party wallets used by customers.

Supported Payment Methods: Fiatbit Technologies d.o.o. accepts payments via bank transfer, credit/debit cards, and other authorized methods, depending on user location and availability.

Service Availability: The availability of services may be impacted by maintenance, technical issues, or regulatory constraints. Fiatbit Technologies d.o.o. reserves the right to suspend or discontinue services without prior notice, where necessary.

Exclusions

Restricted Jurisdictions: Fiatbit Technologies d.o.o. does not provide cryptocurrency services to customers in jurisdictions where such services are restricted or prohibited by law.

By using the Services, you confirm that you understand the scope and limitations of the cryptocurrency services provided by Fiatbit Technologies d.o.o. and agree to comply with these Terms.

3. Eligibility

To access and use the cryptocurrency services provided by Fiatbit Technologies d.o.o., you must meet the following eligibility criteria:

Age and Legal Capacity

Minimum Age Requirement: You must be at least 18 years old or of the legal age in your jurisdiction, whichever is higher, to use the Services.

Legal Capacity: You must have the full legal capacity to enter into a binding contract under the laws of your jurisdiction.

No Proxy Use: You agree not to use the Services on behalf of another person or entity unless expressly authorized to do so by Fiatbit Technologies d.o.o.. Any attempt to bypass this restriction may result in account suspension or termination.

Exclusion of Third Parties: You agree not to allow third parties to access or use your account. All actions taken through your account will be considered your own, and you assume full liability for any such actions.

Residency Restrictions

Fiatbit Technologies d.o.o. provides cryptocurrency services to customers residing in permitted jurisdictions, provided that the use of such services is not restricted or prohibited by local laws or regulations.

Prohibited Regions: Fiatbit Technologies d.o.o. does not offer cryptocurrency services to customers who are residents of, located in, or otherwise connected to jurisdictions subject to comprehensive international sanctions, embargoes, or other restrictive measures, including but not limited to those imposed by Croatia, the European Union, the United Nations, or the United States. Additionally, Fiatbit Technologies d.o.o. does not provide services to individuals or entities associated with jurisdictions classified as high-risk or non-cooperative by the Financial Action Task Force (FATF), including jurisdictions under increased monitoring ("grey list") or subject to a call for action ("blacklist").

Compliance with Local Laws: It is your sole responsibility to ensure that your access to and use of the Services complies with the laws and regulations of your jurisdiction. Fiatbit Technologies d.o.o. reserves the right to refuse, restrict, or terminate access to the Services at its sole discretion if necessary to comply with applicable legal obligations, sanctions, or regulatory requirements.

Verification Process

Know Your Customer (KYC) Compliance: To use the Services, you must successfully complete Fiatbit Technologies d.o.o.’s KYC process. This process may include, but is not limited to, the submission of identity verification documents, proof of residence, and other information that Fiatbit Technologies d.o.o., in its sole discretion, deems necessary to verify your identity, assess your risk profile, and comply with applicable anti-money laundering (AML) and counter-terrorist financing (CTF) regulations.

Ongoing Verification: Fiatbit Technologies d.o.o. reserves the right to request updated documentation, additional information, or re-verification at any time to ensure continued compliance with regulatory obligations, changes in your risk profile, or internal compliance policies. Failure to comply with such requests may result in the suspension, restriction, or termination of your access to the Services.

Binding Compliance: By using the Services, you confirm that you meet all eligibility criteria and agree to cooperate fully with Fiatbit Technologies d.o.o.’s KYC and AML requirements. You acknowledge that Fiatbit Technologies d.o.o. has the right to restrict, suspend, or terminate access to the Services at its sole discretion if you fail to provide the required information or if your information is found to be false, misleading, or incomplete.

4. Governing Law and Dispute Resolution

Governing Law These Terms and any disputes arising out of or in connection with them are governed by the laws of Croatia, without regard to its conflict of law principles. By using the Services provided by Fiatbit Technologies d.o.o., you agree that all matters relating to your access to or use of the Services shall be governed exclusively by Croatian law.

Jurisdiction Any disputes arising from or relating to these Terms, the Services, or the relationship between you and Fiatbit Technologies d.o.o. shall be resolved exclusively by the competent courts located in Croatia.

Alternative Dispute Resolution (ADR) Fiatbit Technologies d.o.o. encourages users to resolve disputes amicably. Where permitted by law, Fiatbit Technologies d.o.o. may offer to engage in mediation or arbitration to resolve disputes without the need for court involvement. Binding Nature By using the Services, you agree to submit to the exclusive jurisdiction of the Croatian courts in Croatia for the resolution of disputes and waive any objection to venue or jurisdiction.

5. User Obligations

By accessing or using the Services provided by Fiatbit Technologies d.o.o. via fiatbit.hr, you agree to the following obligations:

Compliance with Laws You must comply with all applicable laws, regulations, and rules in your jurisdiction, including but not limited to those related to cryptocurrencies, anti-money laundering (AML), and counter-terrorist financing (CTF). You are solely responsible for ensuring that your use of the Services does not violate any local, national, or international laws.

Accuracy of Information You must provide accurate, complete, and up-to-date information during registration and while using the Services. You are required to promptly update your account information if there are any changes, including changes to your contact details, payment methods, or wallet addresses.

Prohibited Activities You agree not to engage in any of the following activities while using the Services:

• Fraudulent or Illegal Activity: Using the Services for any illegal purpose, including money laundering, tax evasion, or financing illegal activities.
• Unauthorized Access: Attempting to gain unauthorized access to the platform, user accounts, or any part of Fiatbit Technologies d.o.o.’s systems.
• Misrepresentation: Providing false, misleading, or incomplete information to Fiatbit Technologies d.o.o..
• Interference: Disrupting or interfering with the operation of the platform, including through the use of bots, automated systems, or other malicious means.

Security You are responsible for maintaining the confidentiality of your account credentials and ensuring the security of your account. Fiatbit Technologies d.o.o. recommends enabling all available security features, such as multi-factor authentication, to protect your account. You are responsible for the security of the devices you use to access the Services. Fiatbit Technologies d.o.o. is not liable for losses resulting from malware, hacking, or other unauthorized access to your device or connection.

Use of Services You may only use the Services for personal and lawful purposes. Any commercial use of the Services is strictly prohibited without prior written approval from Fiatbit Technologies d.o.o.. You may not use the Services to facilitate payments or transactions on behalf of third parties without the explicit consent of Fiatbit Technologies d.o.o.. You are solely responsible for determining and fulfilling your tax obligations related to the use of the Services. Fiatbit Technologies d.o.o. does not provide tax advice and is not responsible for your tax compliance. You agree to notify Fiatbit Technologies d.o.o. immediately via [email protected] if you suspect unauthorized access to your account, fraudulent activity, or any other security breach.

Cooperation with Fiatbit Technologies d.o.o. You agree to cooperate with Fiatbit Technologies d.o.o. in any investigations related to compliance, fraud prevention, or disputes. Fiatbit Technologies d.o.o. may request additional documentation or verification at any time to ensure compliance with applicable laws and regulations. By using the Services, you acknowledge and accept these obligations. Failure to comply with these obligations may result in the suspension or termination of your account and legal action where applicable.

6. Fees and Payment

Transaction Fees Fiatbit Technologies d.o.o. applies the following fees for its cryptocurrency services:

• Buying Cryptocurrencies:
  • A fee of 10% applies to all transactions processed via SEPA bank transfers.
  • A fee of 14% applies to transactions processed using alternative payment methods (e.g., credit or debit cards).
• Selling Cryptocurrencies:
  • A flat fee of 10% applies to all sell orders.

The applicable fees are displayed during the transaction process. By proceeding with a transaction, you agree to the fees presented at the time of execution.

Payment Methods Fiatbit Technologies d.o.o. accepts payments via the following methods, depending on availability and user location:

• Bank transfers: SEPA or SWIFT transfers, depending on your region.
• Credit or debit cards: Subject to transaction limits and verification.
• Other authorized payment methods: As specified on fiatbit.hr.

You are responsible for ensuring that the payment method you use is valid, authorized, and associated with your account. Fiatbit Technologies d.o.o. reserves the right to decline or reverse transactions if fraudulent activity is suspected.

Chargebacks and Refunds Fiatbit Technologies d.o.o. does not provide refunds for completed cryptocurrency transactions due to the irreversible nature of blockchain transactions. If a chargeback is initiated by a payment provider, Fiatbit Technologies d.o.o. reserves the right to:

• Deduct an administrative fee of EUR 100 for handling the chargeback process.
• Suspend or terminate your account if the chargeback is deemed fraudulent.

Currency Conversion Fiatbit Technologies d.o.o. is not responsible for any currency conversion fees or exchange rate differences that may apply when using certain payment methods. These fees are determined by your bank or payment provider.

Failure to Pay If your payment is not successfully completed or is reversed, Fiatbit Technologies d.o.o. reserves the right to:

• Cancel the associated transaction.
• Suspend or terminate your account.

By using the Services, you agree to the fees and payment terms outlined above. Failure to comply with these terms may result in the suspension of your account and other legal consequences.

7. AML and KYC Compliance

Fiatbit Technologies d.o.o. is committed to complying with all applicable Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations. To ensure compliance, the following policies and procedures are in place:

Initial Verification: To use the Services, you must complete Fiatbit Technologies d.o.o.’s KYC verification process, which includes providing:

User Obligations You agree to provide accurate and truthful information during the verification process. You agree to cooperate fully with Fiatbit Technologies d.o.o. in any investigations related to compliance with AML and KYC regulations.

By using the Services, you acknowledge and agree to Fiatbit Technologies d.o.o.’s compliance requirements and understand that failure to meet these requirements may result in account suspension, termination, or legal action.

8. Risk Disclosure

By using the Services provided by Fiatbit Technologies d.o.o., you acknowledge and accept the inherent risks associated with cryptocurrencies and blockchain technology. These risks include, but are not limited to, the following:

Volatility The value of cryptocurrencies can be highly volatile, with prices fluctuating significantly in short periods. You acknowledge that the value of your cryptocurrency holdings may decrease or increase unpredictably. Fiatbit Technologies d.o.o. does not guarantee the value or stability of any cryptocurrency.

Irreversible Transactions Cryptocurrency transactions, once completed, are generally irreversible. Fiatbit Technologies d.o.o. cannot reverse, cancel, or refund any cryptocurrency transaction once it has been confirmed on the blockchain. If you provide incorrect wallet addresses or other transaction details, your funds may be permanently lost.

Regulatory Risks The regulatory environment for cryptocurrencies is constantly evolving. Changes in laws or regulations in your jurisdiction may impact your ability to use the Services or the legality of holding or transacting cryptocurrencies. Fiatbit Technologies d.o.o. is not responsible for ensuring compliance with local regulations in your jurisdiction.

Security Risks The security of your cryptocurrency wallet and private keys is your sole responsibility. Fiatbit Technologies d.o.o. does not provide custodial wallet services and is not liable for any loss resulting from unauthorized access to your wallet. Cyberattacks, such as phishing, hacking, or malware, may compromise your account or wallet. Fiatbit Technologies d.o.o. strongly recommends implementing security measures, such as two-factor authentication (2FA).

Technological Risks Blockchain networks are subject to potential risks, including but not limited to:

• Forks or changes in the blockchain protocol.
• Network congestion or delays in transaction confirmations.
• Malfunctions or vulnerabilities in the blockchain network or its software.

Fiatbit Technologies d.o.o. is not liable for any losses resulting from such technological risks.

Market Risks Cryptocurrencies are speculative assets and may not be suitable for all users. You should assess your financial situation and risk tolerance before engaging in cryptocurrency transactions. Fiatbit Technologies d.o.o. does not provide financial or investment advice. You are solely responsible for your decisions. By using the Services, you confirm that you understand and accept the risks associated with cryptocurrencies and the limitations of Fiatbit Technologies d.o.o.’s liability in these matters.

9. Privacy and Data Protection

Fiatbit Technologies d.o.o. operates in accordance with the Croatian Act on the Protection of Personal Data and relevant international standards, including the GDPR.

Data Collection and Use

Data Collected: Fiatbit Technologies d.o.o. collects personal data necessary to provide the Services, including but not limited to:

• Decisions to discontinue or modify the platform or its functionality.

Termination by the User You may terminate your account and cease using the Services at any time by contacting Fiatbit Technologies d.o.o. at [email protected]. Termination by you does not relieve you of any outstanding obligations or liabilities to Fiatbit Technologies d.o.o., including unpaid fees or unresolved disputes.

Effect of Termination Upon termination of your account:

• Your access to the Services, including pending transactions, will be immediately revoked.
• Fiatbit Technologies d.o.o. will not be responsible for recovering or transferring funds or cryptocurrencies not claimed prior to termination.

By using the Services, you acknowledge and agree that Fiatbit Technologies d.o.o. has the right to terminate your access under the circumstances outlined above.

12. Liability Limitation

To the maximum extent permitted by law, Fiatbit Technologies d.o.o. and its affiliates, employees, and agents are not liable for:

• Incorrect wallet addresses or transaction details provided by you.
• Security breaches or unauthorized access caused by your failure to safeguard your account credentials or wallet private keys.
• Delays, interruptions, or errors in blockchain network operations.

Fiatbit Technologies d.o.o. is not responsible for the actions or inactions of third parties, including:

• Financial institutions or payment processors.
• Providers of wallets or other cryptocurrency-related services.

Force Majeure Fiatbit Technologies d.o.o. is not liable for any failure or delay in providing the Services due to events beyond its reasonable control, including but not limited to:

• Natural disasters, acts of war, or terrorism.
• Cyberattacks, including Distributed Denial-of-Service (DDoS) attacks.
• Changes in laws or regulations affecting the cryptocurrency market.

Liability Cap In all cases, the maximum liability of Fiatbit Technologies d.o.o. to any user shall not exceed the total amount of fees paid by the user to Fiatbit Technologies d.o.o. in the 90 days preceding the event giving rise to the claim. This limitation applies regardless of the nature of the claim, whether contractual, tortious, or otherwise.

By using the Services, you agree to these liability limitations and understand that Fiatbit Technologies d.o.o.’s liability is strictly limited as outlined above.

13. Indemnification

By using the Services provided by Fiatbit Technologies d.o.o., you agree to indemnify, defend, and hold harmless Fiatbit Technologies d.o.o., its affiliates, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
